The formation of a Spanish limited liability company (S.L.) involves a large number of formalities and is not comparable to the German formation.

Payment formalities
Long payment terms are quite normal in Spain. Always check the creditworthiness of the Spanish company and, if possible, take out credit insurance.

Contracts and Agreements
Agreements & contracts should not leave any room for interpretation in Spain and should be drawn up in both languages. If possible, use a legal advisor who is well acquainted with Spanish legislation.

Branches
Independent branches do not have legal personality in Spain, therefore all contracts are made with the foreign or with the German parent company.

Power of attorney
In Spain you cannot grant power of attorney, instead a general power of attorney must be granted and registered in the commercial register.

Employee secondment
An employee assignment to Spain involves many administrative procedures and formalities. In order to save time, you should always seek advice in advance.

Business life
Business life in Spain usually starts at 09:30. A siesta between 13:30 and 15:30 is also quite common in Spain. Be sure to take this into account when planning your appointments.
