Construction and assembly companies must submit a one-time construction site notification (EBM) if the net order value exceeds EUR 25,000.

In Belgium, some services are regulated, and the performance of these activities requires occupation-specific qualification certificates, which must be presented prior to the start of the activity.

Employment contracts
In the country, employment contracts and other documents must be drawn up in the regional language. This means that the choice of language for contracts is strictly regulated and depends on the language area in which the employer has its registered office. If this is not taken into account, any documents are null and void.

Obligations for employment
Employers in the country are obliged to register with the National Social Security Office (LSS) and to take out work accident insurance before the employee starts work. For this purpose, he must electronically register the hiring of the employee with the LSS.

Establishment of a branch office
The Belgian Company Code provides for a large number of disclosure and accounting obligations with respect to a branch of a foreign company. This means a not inconsiderable effort, e.g. information about the parent company as well as about the branch must be disclosed and the annual accounts must be filed with the Belgian National Bank.

Advantages of a subsidiary
By establishing an independent subsidiary, a separate legal entity is created and creditors of the subsidiary cannot seize the assets of the parent company. It also creates a Belgian company, which makes it possible to establish business relationships more quickly. Belgian contractors are very happy to work with companies based in the country.

Incorporation process
In Belgium, founders must prepare a financial plan and file it with the notary prior to notarization. The financial plan sets out how the company can properly conduct business for at least 2 years through equity, income and financing. If the authorities have doubts about the presented plan, this can lead to the liability of the founders.

The newly established company must register with the central company database of the Federal Economic Service (Banque-Carrefour des Entreprises / Kruispuntbank van Ondernemingen) via the company counter (guichet d'entreprise / ondernemingsloket) before commencing its activities.
